Introduction

Welcome to CBG Nutrition. These Terms of Service (“Terms”) govern your access to and use of the CBG Nutrition website at https://consistencybreedsgrowth.com (the “Website”) and our mobile application (the “App”), collectively referred to as the “Platform.” The Platform is operated by CBG Nutrition (“CBG Nutrition,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply to specific features or services. If you do not agree to these Terms, please do not use the Platform.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Platform, you:

  • Acknowledge that you have read, understood, and agree to be bound by these Terms
  • Agree to comply with our Privacy Policy
  • Represent that you are at least 13 years of age, and if you are between 13-17 years old, that you have obtained verifiable parental or guardian consent to use the Platform
  • Acknowledge that the Platform is not intended for children under 13 years of age
  • Agree to use the Platform only for lawful purposes

We reserve the right to modify these Terms at any time. We will notify users of material changes through the Platform or via email. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

2. Description of Services

CBG Nutrition is a nutrition coaching platform that connects clients with registered dietitians and certified nutrition coaches. Our services include:

For Coaches:

  • Tools to create and manage nutrition and fitness programs
  • Client management and communication features
  • Payment processing for coaching services
  • Progress tracking and analytics
  • Educational content and resources

For Clients:

  • Access to personalized nutrition and fitness coaching
  • Nutrition and workout tracking tools
  • Communication with assigned coaches
  • Progress monitoring and goal setting
  • Educational content and resources

CBG Nutrition acts as a platform provider and is not directly responsible for the coaching services provided by individual coaches. The coaching relationship exists directly between the client and their assigned coach, not between the client and CBG Nutrition.

3. User Accounts and Registration

Account Creation

To access certain features of the Platform, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

Account Security

You are responsible for maintaining the confidentiality of your account credentials. CBG Nutrition will not be liable for any loss or damage arising from your failure to protect your account information.

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Upon your request

4. User Responsibilities and Conduct

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit harmful, offensive, or inappropriate content
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Interfere with or disrupt the Platform’s operation
  • Attempt to gain unauthorized access to the Platform
  • Use automated systems (bots, scrapers) without permission
  • Collect or harvest user information without consent
  • Use the Platform for any commercial purpose without authorization

5. Intellectual Property Rights

Our Content

The Platform and its contents, including but not limited to text, graphics, images, logos, videos, software, and code, are owned by or licensed to CBG Nutrition and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes. You may not:

  • Reproduce, distribute, or create derivative works from our content
  • Use our content for commercial purposes without written permission
  • Remove or alter any copyright, trademark, or proprietary notices
  • Reverse engineer or decompile any portion of the Platform

User Content

You retain ownership of any content you submit to the Platform (“User Content”), including:

  • Profile information
  • Messages and communications
  • Progress photos and tracking data
  • Reviews and testimonials
  • Comments and posts

By submitting User Content, you grant CBG Nutrition a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute your User Content for the purpose of operating and promoting the Platform.

You represent and warrant that:

  • You own or have the right to submit your User Content
  • Your User Content does not violate any third-party rights
  • Your User Content complies with these Terms

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

6. Payment Terms and Subscriptions

For Coaches:

  • Subscription fees are charged on a monthly or annual basis
  • Payment is processed through our payment provider (Stripe)
  • Fees are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days’ notice
  • Failure to pay may result in account suspension or termination

For Clients:

  • Coaching fees are set by individual coaches
  • Payment is processed through the Platform
  • Refund policies are determined by individual coaches
  • We facilitate payments but are not a party to the coaching agreement

Payment Processing:

All payments are processed by Stripe, Inc. We do not store your full credit card information. By making a purchase, you agree to Stripe’s terms and conditions.

Cancellations and Refunds:

  • Coach subscriptions: You may cancel at any time, but no refunds will be issued for partial billing periods
  • Client coaching services: Refund policies are set by individual coaches
  • Refund requests should be directed to info@consistencybreedsgrowth.com

Platform’s Role in Payment Disputes:

CBG Nutrition acts as a payment facilitator between Coaches and Clients. In the event of a payment dispute:

  • Direct Coach-Client Disputes: Clients should first attempt to resolve refund requests directly with their Coach according to the Coach’s refund policy
  • Unresolved Disputes: If a dispute cannot be resolved directly, clients may contact CBG Nutrition at info@consistencybreedsgrowth.com for assistance in facilitating communication
  • Chargebacks: If a client initiates a chargeback through their credit card company or Stripe, we reserve the right to suspend or terminate access to the Platform for both parties pending resolution
  • Coach Responsibility: Coaches are ultimately responsible for honoring their stated refund policies and may be subject to account suspension or termination for fraudulent practices or repeated valid complaints

CBG Nutrition does not adjudicate refund disputes but may suspend accounts or restrict access to protect the integrity of the Platform.

7. Health and Nutrition Disclaimers

Not Medical Advice

CBG Nutrition provides a platform for nutrition coaching services. The information and services provided through the Platform are for educational and informational purposes only and do not constitute medical advice, diagnosis, or treatment.

Consult Healthcare Professionals

You should consult with a qualified healthcare professional before:

  • Starting any nutrition or fitness program
  • Making changes to your diet or exercise routine
  • If you have any medical conditions or concerns
  • If you are pregnant, nursing, or taking medications

Specific Health Warnings

Eating Disorders: If you have a history of eating disorders (anorexia, bulimia, binge eating disorder, etc.) or disordered eating patterns, you should consult with a medical doctor and licensed mental health professional before using our Platform. Nutrition coaching is not a substitute for treatment of eating disorders.

Medical Conditions: You must consult with your healthcare provider before using our services if you have any of the following conditions:

  • Diabetes or blood sugar disorders
  • Heart disease or cardiovascular conditions
  • Kidney disease or kidney function issues
  • Liver disease
  • Thyroid disorders
  • High blood pressure
  • Cancer or undergoing cancer treatment
  • Gastrointestinal disorders
  • Any condition requiring a medically prescribed diet
  • Any chronic medical condition
  • Pregnancy or breastfeeding

Medication Interactions: Dietary changes can affect how medications work. Always consult your doctor or pharmacist before making significant dietary changes if you are taking any medications.

Emergency Situations: If you experience chest pain, difficulty breathing, severe pain, or any medical emergency, call emergency services immediately (911 in the US). Do not rely on the Platform or your coach for emergency medical assistance.

Coach Qualifications

While we connect you with registered dietitians and certified nutrition coaches, individual coaches are independent contractors responsible for their own services. We do not guarantee results or outcomes from coaching services.

Assumption of Risk

You acknowledge and agree that:

  • You participate in nutrition and fitness programs at your own risk
  • We are not responsible for injuries or health issues that may arise
  • You should discontinue any program if you experience adverse effects
  • You are responsible for monitoring your own health and well-being

No Treatment of Medical Conditions

The Platform and the services provided by Coaches are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Coaches provide general nutrition and fitness guidance, not medical treatment. Even registered dietitians working through the Platform are providing wellness coaching, not medical nutrition therapy, unless explicitly stated otherwise and operating under a physician’s supervision.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy.

By using the Platform, you consent to our collection and use of your information as described in the Privacy Policy.

The Platform may contain links to third-party websites, applications, or services. We do not endorse or assume responsibility for any third-party content, products, or services.

Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.

Third-party services we integrate with include:

  • Stripe (payment processing)
  • Google (analytics and reCAPTCHA)
  • Meta/Facebook (advertising)
  • Mailchimp (email marketing)

10. Disclaimers and Limitations of Liability

Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Platform will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy or reliability of content
  • Warranties that defects will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CBG NUTRITION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Damages arising from your use or inability to use the Platform
  • Damages arising from third-party content or services
  • Damages arising from unauthorized access to your data

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Indemnification

You agree to indemnify, defend, and hold harmless CBG Nutrition from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

11. Dispute Resolution and Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.

Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or the Platform shall be filed exclusively in the state or federal courts located in Ocean County, New Jersey, and you consent to the personal jurisdiction of such courts.

Limitation on Claims

You agree that any claim arising from or relating to the Platform or these Terms must be filed within one (1) year after such claim arose, or it shall be permanently barred.

Class Action Waiver

To the extent permitted by applicable law, you agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

11A. International Users and Statutory Rights

For Users in the European Economic Area (EEA), United Kingdom, and Switzerland

If you are accessing the Platform from the EEA, UK, or Switzerland, nothing in these Terms limits your statutory rights under applicable law, including:

  • Data protection rights under the General Data Protection Regulation (GDPR)
  • Consumer protection rights under EU and national law
  • Mandatory legal protections that cannot be waived by contract

In the event of any conflict between these Terms and your statutory rights, your statutory rights shall prevail.

For Users in Other Jurisdictions

If you are located in a jurisdiction with mandatory consumer protection laws or statutory rights that cannot be waived, nothing in these Terms shall be interpreted to limit those rights. You may have additional rights under your local laws, including the right to bring disputes in your local courts.

Any provisions of these Terms (including but not limited to arbitration clauses, class action waivers, or limitations of liability) that are prohibited or restricted by mandatory laws in your jurisdiction shall not apply to you to the extent prohibited or restricted.

12. Modifications to the Platform

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Platform at any time
  • Change features, functionality, or content without notice
  • Impose limits on certain features or restrict access to parts of the Platform

We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

13. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms, constitute the entire agreement between you and CBG Nutrition regarding the Platform.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

Survival

Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnification, and limitations of liability.
